Terms of Service

These Terms of Service ("Terms") govern access to and use of the Marketing Intelligence Hub software-as-a-service at https://metriverra.com (the "Service"), provided by Діма Тетяна Маринівна ("Provider", "we", "us"). By creating an account, subscribing, or using the Service, you ("Customer", "you") agree to these Terms.
Customers based in Ukraine contract under a separate Ukrainian public offer. These Terms apply to customers outside Ukraine, who are billed through our Merchant of Record.
1. The Service and accounts
1.1. Subject to these Terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable right to access and use the Service under your selected plan during the paid term.
1.2. You are responsible for your account and credentials, and for all activity under your account. Concurrent use of one login is limited to protect against credential sharing.
1.3. The Service integrates your own third-party accounts (advertising, analytics, CRM, AI). You bring your own API keys ("BYOK") and remain responsible for those third-party services and their fees.
1.4. Your plan sets the limits of your workspace, including the number of users and the number of connected accounts per channel (per data source). Current limits are published at https://metriverra.com; you may upgrade your plan to raise them.
2. Subscriptions, billing and Merchant of Record
2.1. Access is provided on a prepaid subscription basis and renews automatically each billing period until cancelled.
2.2. Purchases by customers outside Ukraine are processed by our Merchant of Record, Paddle (paddle.com), which acts as reseller of record and handles payment, invoicing and applicable taxes. By subscribing you also agree to Paddle's buyer terms.
2.3. Prices are published on https://metriverra.com, exclusive of taxes; the Merchant of Record adds any applicable VAT/sales tax at checkout based on your location.
2.4. You authorise recurring charges for the plan fee until you cancel. If a renewal payment fails, we may suspend access after a grace period and terminate for continued non-payment.
3. Cancellation
3.1. You may cancel at any time, effective at the end of the current paid billing period; access continues until then.
4. Acceptable use
4.1. You must not use the Service unlawfully, infringe others' rights, attempt to breach security or access controls, resell the Service beyond your plan, or upload malicious code. We may suspend accounts that materially breach this section.
5. Data protection
5.1. In providing the Service we process your advertising and analytics account data on your behalf and instructions, acting as processor; you remain the controller. See our Privacy Policy.
5.2. We apply technical and organisational measures (encryption of access keys, per-customer data isolation) and do not sell your data.
6. Intellectual property
6.1. The Service and its software remain our property and that of our licensors. Your data and connected-account data remain yours; you grant us the limited right to process it solely to provide the Service.
7. Warranties and liability
7.1. The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim implied warranties and are not responsible for outages of third-party services.
7.2. To the maximum extent permitted by law, neither party is liable for indirect or consequential damages, and our aggregate liability is limited to the amounts you paid for the Service in the three (3) months before the event giving rise to the claim.
8. Changes and termination
8.1. We may update these Terms and pricing by publishing a new edition at https://metriverra.com; changes take effect for the next billing period. Continued use after the effective date is acceptance.
8.2. We may suspend or terminate access for non-payment or material breach.
